Item 8.01.

Other Events.

As previously disclosed, on November 24, 2024, Brightcove Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Bending Spoons US Inc., a Delaware corporation (“Parent”), Bending Spoons S.p.A., an Italian societá per azioni (solely for the purposes of Section 6.11, Section 6.13 and Section 9.15) (“Guarantor”), and Blossom Merger Sub Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), pursuant to which Merger Sub will be merged with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly-owned subsidiary of Parent.

The completion of the Merger is conditioned upon, among other things, approval from the Secretary of State in the Cabinet Office (“Secretary of State”) pursuant to the United Kingdom’s National Security and Investment Act 2021, as amended. On January 30, 2025, the Company received written notice from the Secretary of State that no further action would be taken in relation to the Merger. Accordingly, all conditions to closing with respect to antitrust and foreign direct investment laws have been satisfied in accordance with the terms and conditions of the Merger Agreement. The closing of the Merger is expected to occur on or about February 4, 2025, or as soon as possible thereafter, subject to the satisfaction of any remaining conditions to closing under the Merger Agreement.
