ITEM 1.01 ~~Entry~~ ENTRY INTO ~~into~~A aMATERIAL ~~Material Definitive~~DEFINITIVE ~~Agreement~~AGREEMENT.

OnAs ~~June~~previously 1disclosed, ~~2007,~~Oak ~~TXU~~Grove ~~Properties~~Management Company ~~(“TXU~~LLC ~~Properties”), an indirect wholly owned subsidiary of TXU Corp.~~ (the “Company”), ~~and U.S. Bank, N.A. (as~~a ~~successor~~wholly-~~in-interest to State Street Bank and Trust Company of Connecticut~~owned, ~~National~~ ~~Association),~~direct assubsidiary ~~owner trustee~~ of ~~ZSF/Dallas~~TXU ~~Tower~~Energy ~~Trust,~~Company aLLC ~~Delaware grantor trust~~ (~~the~~ “~~Lessor~~TXU Energy”), ~~amended the terms of that certain Lease Agreement,~~is ~~dated~~developing asan ofapproximately ~~February 14~~1,600 ~~2002,~~megawatt ~~with~~net ~~respect to the Company’s headquarters building to~~capacity, ~~among~~two ~~other things~~unit, ~~reflect the termination of the Guaranty~~coal-fueled ~~Agreement~~generation ~~and~~facility ~~the~~located ~~Additional Guaranty Agreement described~~ in ~~Item~~Robertson ~~1.02~~County, ~~below and require~~Texas ~~that TXU Properties cause~~ (the ~~Company~~“Oak ~~or any affiliate of the Company~~Grove ~~other than TXU Properties to provide throughout the remaining term of the lease an irrevocable, standby letter of credit~~Facility”). ~~The~~Fluor ~~requirement to provide a letter of credit replaces the Guaranty Agreement and the Additional Guaranty Agreement~~Enterprises, ~~which~~Inc. ~~prior to termination thereof obligated the Company and/or TXU Energy Company LLC~~ (“~~Energy Holdings~~Fluor”) toserves ~~provide~~as ~~an additional guarantee from an entity having investment grade long-term debt ratings or an uncollateralized~~engineering, ~~irrevocable,~~procurement ~~standby~~and ~~letter~~construction ofcontractor ~~credit~~for ~~as a result of~~ the ~~March~~Company 2,with ~~2007~~respect ~~downgrade~~to the ~~by Standard & Poor’s Rating Services of Energy Holdings’ long-term debt~~Oak ~~ratings~~Grove ~~to below investment grade~~Facility.

TXU ~~Properties~~US ~~has~~Holdings ~~the~~Company, ~~right~~a atwholly-owned ~~any~~subsidiary ~~time~~of toTXU ~~cause~~Corp. ~~any~~(“TXU ~~outstanding~~US ~~letter~~Holdings”), has guaranteed certain obligations of ~~credit~~the Company under the terms of the Amended toand beRestated ~~replaced~~EPC ~~with~~Agreement. If ~~another~~TXU ~~letter~~Energy ofis ~~credit~~no ~~that~~longer ~~meets~~a ~~all~~direct, wholly-owned subsidiary of TXU US Holdings, the ~~requirements~~Company is required to ~~set~~substitute ~~forth~~a similar guarantee from TXU Corp. in the ~~lease,~~place asof ~~amended~~the TXU US Holdings guarantee. Fluor’s obligations under the Amended and Restated EPC Agreement are guaranteed by Fluor Corporation.

~~ITEM~~ 1~~.02 Termination~~ The ofRegistrants expect to request confidential treatment for a ~~Material~~number of competitively sensitive ~~Definitive~~ terms of the Amended and Restated EPC Agreement.

~~Guaranty Agreement~~2

On June 1, 2007, the Lessor and the assignee of the Lessor’s rights under that certain Guaranty Agreement, dated February 14, 2002, by the Company in favor of the Lessor, acknowledged and agreed that the Guaranty Agreement was, and the Company’s obligations thereunder were, terminated effective as of June 1, 2007. The Guaranty Agreement and the Additional Guaranty Agreement described below were replaced with the letter of credit provided in accordance with the lease amendment described in Item 1.01 above.SIGNATURE

On TXU June 1, 2007, the Lessor and the assignee of the Lessor’s rights under that certain Additional Guaranty Agreement, dated November 19, 2002, by Energy Holdings in favor of the Lessor, acknowledged and agreed that the Additional Guaranty Agreement was, and Energy Holdings’ obligations thereunder were, terminated effective as of June 1, 2007CORP. The Additional Guaranty Agreement and the Guaranty Agreement described above were replaced with the letter of credit issued in accordance with the lease amendment described in Item 1.01 above.
