Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 17, 2012, Mr. John Eliasov, a director of Fifth Season International, Inc. (the “Company”) notified the Company of his intention to resign from his position for personal reasons, effective immediately. Mr Eliasov’s resignation was not because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

The Company’s Board of Directors is in the process of vetting suitable candidates to fill the vacancy created due to departure of Mr. Eliasov and will announce any such appointment as soon as it is complete.
