This Amendment No. 24 amends the Schedule 13D filed on October 3, 2003, as amended, including as amended by the most recent amendment filed with respect to a March 31, 2009 event date (the “Statement”), and is filed by (i) P.P. Luxco Holdings II S.A.R.L., (ii) Picchio Pharma, Inc., (iii) FMRC Family Trust, (iv) John W. Churchill, (v) Vernon H. Strang, (vi) Victoria Square Ventures Inc., (vii) Dr. Francesco Bellini, (viii) Roberto Bellini and (ix) Carlo Bellini, relating to the common shares, no par value (the “BELLUS Shares” or “Common Shares”), of BELLUS Health Inc. (formerly known as Neurochem Inc.), a corporation organized under the Canada Business Corporations Act (the “Company”). Unless otherwise indicated, all capitalized terms used herein shall have the meanings given to them in the Statement, and unless amended hereby, all information previously filed remains in effect. All dollar amounts are in Canadian dollars, except as otherwise indicated.

This Amendment No. 24 is filed to report the closing of the transactions described in Amendment No. 23, including: (i) the purchase of New Notes of the Company in the amount of $5 million by each of VSV and Vitus, and the entry by the Company into Note Purchase Agreements with VSV and Vitus relating to their investment in the New Notes, (ii) the acquisition Preferred Shares by FMRC and VSV in exchange for Existing Notes as described below and (iii) the entry into the Board Representation Agreements and certain other agreements as described below. The Preferred Shares are convertible into Common Shares at a rate of one Common Share for each Preferred Share at any time at the option of the holder.

ITEM 4. PURPOSE OF TRANSACTION

Item 6 below is hereby incorporated into Item 4.

ITEM 5. INTEREST IN SECURITIES OF THE COMPANY

All references to BELLUS Shares owned by FMRC or by John W. Churchill or Vernon H. Strang (in their capacities as trustees of FMRC) are hereby amended to add to their direct ownership of BELLUS Shares 20,124,000 Common Shares that are issuable on conversion of the 20,124,000 Preferred Shares held by FMRC. All references to BELLUS Shares owned by VSV are hereby amended to add to its direct ownership of BELLUS Shares 21,672,000 Common Shares that are issuable on conversion of the 21,672,000 Preferred Shares held by VSV.

The second paragraph following paragraph (viii) of Item 5(a) (in other words, the paragraph describing ownership of BELLUS Shares by directors and officers of Picchio) is hereby amended to read as follows in its entirety:

Certain directors and executive officers of Picchio, or their spouses, beneficially own BELLUS Shares as follows (number of BELLUS Shares in parenthesis): (A) Charles Cavell (10,000 Common Shares directly, and 309,600 Common Shares issuable upon conversion of Preferred Shares); (B) Dr. Gervais Dionne (41,000 Common Shares directly, of which 1,000 are held of record by his wife which he may be deemed to beneficially own, and 1,548,000 Common Shares issuable upon conversion of Preferred Shares); and (C) Roberto Bellini (30,000 Common Shares owned directly and 1,398,684 Common Shares which he may be deemed to own

beneficially as a result of his ownership of 50% of the equity of Rocabe). Messrs. Cavell and Dionne acquired their Preferred Shares on April 16, 2009 in exchange for Existing Notes.

Item 5(c) is hereby amended by adding the following at the end thereof:

On April 16, 2009, VSV and FMRC as the holders, respectively, of US$7.0 million and US$6.5 million aggregate principal amount of Existing Notes converted these Existing Notes into Preferred Shares at a rate of 3,096 Preferred Shares per US$1,000 in principal amount of the Existing Notes. The Preferred Shares are convertible into Common Shares at a rate of one Common Share for each Preferred Share at any time at the option of the holder.

ITEM 6. CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO SECURITIES OF THE ISSUER

Item 6 is hereby amended by adding the following at the end thereof:

On April 16, 2009, the Company entered into separate Note Purchase Agreements with VSV and Vitus. A summary of the terms of the New Notes is set forth in amendment No. 23. In addition, the New Notes prohibit VSV and Vitus from engaging in any transaction which is designed to sell short the common shares of the Company, as long as they are holders of the New Notes. The Forms of the Note Purchase Agreements, the New Notes and the Preferred Shares are set forth in Exhibits AAA, BBB, FFF, GGG and HHH and are incorporated into this Item 6 by reference.

In addition, on April 16, 2009, the Company entered into a Board Representation Agreement with each of VSV and Vitus, and most of the provisions of the prior Board Representation Agreement with VSV and Alberta were terminated. The new Board Representation Agreements require the Company to reduce the size of its board of directors from twelve to eight, and entitle each of VSV and Vitus to nominate two nominees for election to the board of directors of the Company. The text of the new Board Representation Agreements is set forth in Exhibits CCC and DDD and is incorporated into this Item 6 by reference.

Also on April 16, 2009, FMRC, VSV and the Company entered into an Undertaking in favor of the Toronto Stock Exchange, providing that, subject to certain exceptions, neither FMRC nor VSV will sell their Preferred Shares pursuant to any takeover bid (as defined by applicable securities legislation in Canada) under circumstances in which applicable securities legislation in Canada would have required the same offer or a follow up offer to be made to all holders of Common Shares, if the sale had been of Common Shares, rather than Preferred Shares. A copy of the Undertaking is set forth in Exhibit EE and is incorporated into this Item 6 by reference.
