IDENTITY AND BACKGROUND.

(c)	Present principal occupation or employment and the name, principal business and address of any corporation or other organization in which such employment is conducted;	President, Novo Life Scientific

ITEM 3.

SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION.

The Reporting Person, Yevsey Tseytelman, received 4, 195,000 shares of Issuer ( 195,000 shares are beneficially owned by Mr. Tseytelman, as guardian for his minor child, Leona Tseytelman) pursuant to an Agreement and Plan of Acquisition between the Issuer and Novo Life Scientific whereby the Issuer acquired all of the issued and outstanding shares of Novo Life Scientific and it became the Issuer's wholly owned subsidiary. He previously owned 17,144 shares of the Issuer which was not included in the original Schedule 13D filing.

ITEM 4.

PURPOSE OF TRANSACTION.

The acquisition by the Reporting Person was based on the transaction described in Item 3. above.

ITEM 5.

INTEREST IN SECURITIES OF THE ISSUER.

Yevsey Tseytelman's securities interest in the Issuer represented 20. 75% of the total issued and outstanding common shares of the Issuer on the Date of the Event.

ITEM 6. CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO SECURITIES OF THE ISSUER.

Other than as described in this Schedule 13D, the Reporting Person has no contracts, arrangements, understandings or relationships with any other person with respect to any securities of the Issuer.

Agreement and Plan of Acquisition between Issuer and Novo Life Scientific filed with the original filing on June 1, 2005.
