Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 25, 2013, Louis H. Siracusano notified the board of directors of X-Factor Communications Holdings, Inc. (the “Company”) of his resignation as a director of the Company, effective immediately, due to increased responsibilities and time commitments required by his current job. Mr. Siracusano’s resignation was not the result of a disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
