Item 4.01 Change in Registrant’s Certifying Accountant.

On April 23, 2018, Friedman LLP (“Friedman”) notified Ominto, Inc. (the “Company”) that it was resigning as the Company’s principal independent registered public accounting firm. The resignation of Friedman was accepted by the Company’s Audit Committee.

During its engagement by the Company, Friedman has not issued any audit reports on the financial statements of the Company, and there were no disagreements with Friedman on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure.

The Company has provided Friedman with a copy of the disclosure in this Item 4.01 of this Current Report on Form 8-K prior to its filing with the Securities and Exchange Commission (the “SEC”) and requested that Friedman furnish us with a letter addressed to the SEC stating whether or not it agrees with the statements made herein. A copy of the letter provided from Friedman is filed as Exhibit 16.1 to this Current Report.
