Regulation FD Disclosure.

On September 21, 2023, the Appreciate Holdings, Inc. (the “Company”) obtained $386,625 in funding pursuant to that certain Secured Promissory Note dated September 21, 2023 issued under the Company’s existing Securities Purchase Agreement, Dated as of November 7, 2016 by and among Appreciate Holdings, Inc. (f/k/a RW National Holdings, LLC), RW OpCo, LLC, and St. Cloud Capital Partners III SBIC, L.P.
