Item 7.01 Regulation FD Disclosure.

As previously reported, America Online Latin America, Inc. ("AOLA") and its subsidiaries AOL Puerto Rico Management Services, Inc., America Online Caribbean Basin, Inc. and AOL Latin America Management LLC (collectively, the "Debtors") each filed voluntary petitions under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware on June 24, 2005. On June 30, 2006, the Debtors' Joint Plan of Reorganization and Liquidation under section 1129 of the Bankruptcy Code became effective. Accordingly, all of AOLA's equity has been cancelled and AOLA intends to file a Form 15 with the United States Securities and Exchange Commission to terminate registration of AOLA's class A common stock under Section 12(g) of the Securities Exchange Act of 1934.
