Provide the following information regarding the aggregate number and percentage of the class of securities of the issuer identified in Item 1.

(a) Amount Beneficially Owned:

As of the close of business on February 11, 2011, Integrated Core Strategies (US) LLC, a Delaware limited liability company ("Integrated Core Strategies"), no longer beneficially owned any shares of the Issuer’s Common Stock.

Integrated Core Strategies held 754,590 warrants as of the close of business on February 11, 2011. Each warrant entitles the holder to purchase one share of the Issuer’s Common Stock at a price of $5.00. Each warrant will become exercisable upon the Issuer’s completion of a business combination. However, the warrants will only be exercisable if a registration statement relating to the common stock issuable upon exercise of the warrants is effective and current. The warrants will expire on February 8, 2012, or earlier upon redemption. On April 16, 2010, the Issuer completed its business combination. However, as of the close of business on February 11, 2011, the Issuer did not have an effective registration statement relating to the Common Stock issuable upon exercise of the warrants. Therefore, the above described warrants are not currently exercisable.

Millennium Management LLC, a Delaware limited liability company, is the general partner of the managing member of Integrated Core Strategies. Israel A. Englander, a United States citizen, is the managing member of Millennium Management.
