Item 4. Ownership

Provide the following information regarding the aggregate number and percentage of the class of securities of the issuer identified in Item 1.

(a) Amount Beneficially Owned

As of the close of business on October 4, 2021, the reporting persons beneficially owned an aggregate of 943,163 shares of the Issuer’s Common Stock, consisting of 843,163 shares of the Issuer’s Common Stock and listed options to purchase 100,000 shares of the Issuer’s Common Stock, for an aggregate of 5.1% of the Issuer’s Common Stock outstanding, which percentage was calculated based on 18,575,655 shares of the Issuer’s Common Stock outstanding as of August 26, 2021, as reported in the Issuer’s proxy statement filed on August 30, 2021.

On October 5, 2021, Stamps Holdings, LLC ("Parent"), an affiliate of Thoma Bravo Fund XIV, L.P., managed by Thoma Bravo, L.P., completed the previously announced acquisition of the Issuer pursuant to the Agreement and Plan of Merger, dated as of July 8, 2021 (the "Merger Agreement"), by and among the Issuer, Parent, and Stream Merger Sub, Inc., a wholly owned subsidiary of Parent ("Merger Sub"). Pursuant to the terms of the Merger Agreement, Merger Sub merged with and into the Issuer (the "Merger"), with the Issuer continuing as the surviving corporation and an indirect wholly owned subsidiary of Parent. In the Merger, each share of the Issuer’s Common Stock issued and outstanding immediately prior to the effective time of the Merger (other than shares of Common Stock owned by Parent, Merger Sub, the Issuer as treasury stock or owned by any direct or indirect wholly owned subsidiary of Parent or the Issuer) was automatically converted into the right to receive $330.00 in cash. Accordingly, as a result of the consummation of the Merger, the reporting persons no longer beneficially owned any shares of the Issuer’s Common Stock.
