(b) Engagement of Independent Accountant

On March 9, 2009, the audit committee of the board of directors of Renegy Holdings, Inc. (the “Company”) engaged Clifton Gunderson LLP (“CGLLP”) as the Company’s independent registered public accounting firm as of and for the fiscal year ending December 31, 2008.

Prior to CGLLP’s engagement, the Company did not consult with CGLLP regarding any matters described in Item 304(a)(2)(i) or Item 304(a)(2)(ii) of Regulation S-K.
