Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 13, 2009, the Company received a letter of resignation from Steven Geringer, Director, with due effect from February 13, 2009. Mr. Geringer informed the Company that his decision to resign was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company announced the appointment of Mr. Jerome D. Nourse, by the Board of Directors, to fill the vacancy created by the resignation of Mr. Geringer.
