Section 3 – Securities and Trading Markets

Item 3.02 Unregistered Sales of Equity Securities.

During the quarter ended October 31, 2013, Registrant issued a total of 1,339,318,962 shares of its common stock as a result of conversions of $339,597 in principal amount of convertible promissory notes previously issued to various private investors for cash in private transactions under Section 4(2). The cash proceeds from the original issuance of the convertible notes was

used for working capital purposes, and all of the note issuances were previously reported in the Registrant’s periodic reports filed on Form 10-K or Forms10-Q in the past twelve months.

As a result of the conversion share issues, there were 2,164,853,983 common shares issued and outstanding at October 31, 2013.
