ITEM 1.01. Entry Into a Material Definitive Agreement.

On February 8, 2022 the Company entered into an agreement with Dalmore Group, LLC pursuant to which Dalmore Group will act as the Company’s broker/ dealer of record in connection with the Company’s future Regulation A+ Offering.

No money or other consideration is being solicited by means of this report, and if sent, will not be accepted. No offer to buy the Company’s securities can be accepted and no part of the purchase price can be received until the Company’s offering statement is qualified, and any such offer may be withdrawn or revoked, without obligation or commitment of any kind, at any time before notice of its acceptance is given by the Compnay after the qualification date. A person’s indication of interest involves no obligation or commitment of any kind.
