Item 8.01 Other Events

On September 3, 2025, the Company announced in a press release that its Board of Directors declared a cash dividend of $0.22 per share on its outstanding common stock. The dividend will be paid on September 30, 2025 to shareholders of record as of the close of business on September 16, 2025. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
