Unregistered Sales of Equity Securities

Union Capital, LLC (Blue Citi Replacement Note)

On November 3, 2015 Blue Water Global Group, Inc. (“Blue Water”) received a Notice of Conversion in the amount of $3,515 and issued 65,071,636 shares of its common stock, $0.001 par value, at an applicable conversion rate of $0.000055 a share pursuant to the Union Capital, LLC convertible note described in detail the Form 8-K filed with the Securities and Exchange Commission (“SEC”) on August 17, 2015.

On November 4, 2015 Blue Water received a Notice of Conversion in the amount of $3,515 and issued 65,085,636 shares of its common stock, $0.001 par value, at an applicable conversion rate of $0.000055 a share pursuant to the Union Capital, LLC convertible note described in detail the Form 8-K filed with the SEC on August 17, 2015.

The remaining principal balance on this note is $27,887.

Macallan Partners, LLC (April 30, 2015 Note)

On November 3, 2015 Blue Water received a Notice of Conversion in the amount of $2,275 and issued 50,000,000 shares of its common stock, $0.001 par value, at an applicable conversion rate of $0.0000455 a share pursuant to the Macallan Partners, LLC convertible note described in detail the Form 8-K filed with the SEC on May 11, 2015.

The remaining principal balance on this note is $77,725.

As of November 4, 2015, Blue Water had 1,485,515,975 shares of its common stock issued and outstanding.
