The annual meeting of shareholders of Citizens Bancshares Corporation (the “Company”) was held on May 23, 2016 (the “Annual Meeting”). Proxies for the Annual Meeting were solicited pursuant to Section 14(a) of the Securities Exchange Act of 1934, as amended.
