ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective the close of business on September 8, 2020, Alan Smith resigned as a member of the Board of Directors of the Company and as President, Chief Executive Officer, Chief Financial Officer, Secretary and Treasurer of the Company, together with any positions with any subsidiary of the Company. There were no disagreements between the Company and Mr. Smith relative to his resignation.

On Wednesday, September 9, 2020 Raymond Watt assumed the position of Chief Executive Officer and President of the company.
