On January 7, 2022, PDL Community Bancorp (“PDL”) and Ponce Financial Group, Inc. (the “Company”), the newly formed Maryland corporation that is the proposed holding company for Ponce Bank and Mortgage World Bankers, Inc., issued a press release announcing the results of the member vote taken at the Special Meeting of Members of Ponce Bank Mutual Holding Company and the final tabulation of stock orders in the Company’s subscription offering.

A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
