Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 7, 2021, Charles M. Dusseau, notified HMG/Courtland Properties, Inc. (the “Company”) of his resignation from the Board of Directors (the “Board”), effective immediately. Concurrently with such resignation, Mr. Dusseau ceased to serve as a member of the Audit Committee. Mr. Dusseau’s resignation from the Board was not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
