Item 5.07. Submission of Matters to a Vote of Security Holders

On July 31, 2025, TCW Direct Lending LLC (the “Company”) held its 2025 Annual Meeting of Members (the “Annual Meeting”), at which a quorum was present via teleconference or by proxy. This was a continuation of the meeting originally scheduled for July 17, 2025, that was adjourned at that time to facilitate the solicitation of additional proxies. At the Annual Meeting, the following matters were submitted to the vote of the members, with the results of voting on each such matter set forth below.

The Company’s members approved a proposal to re-elect the following Class II directors to the Company’s Board of Directors, to hold office until the annual meeting, or special meeting in lieu thereof, of members is held in 2028, with voting results as follows:
