SECTION 8 - OTHER EVENTS

Item 8.01. Other Events.

On November 9, 2017, the U.S. Federal Trade Commission granted early termination, effective immediately, of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the "HSR Act"), with respect to the transactions contemplated by the previously announced merger of Blaze Merger Sub Inc. ("Merger Sub") with and into Lapolla Industries, Inc. (the "Company") pursuant to the Agreement and Plan of Merger, dated as of October 4, 2017 (the "Merger Agreement"), by and among the Company, Icynene U.S. Holding Corp. and Merger Sub (such transactions, the "Merger").

The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger. The closing of the Merger remains subject to the satisfaction or waiver of the remaining conditions to the Merger set forth in the Merger Agreement.
