Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On April 3, 2017, Grandparents.com, Inc. (the "Company") received notice from the OTC Markets Group, Inc. (“OTC Markets”) that OTC Markets would transfer the Company’s listing from the OTCQB market to OTC Pink Current Information market, effective April 4, 2017, for failure to submit payment of the OTCQB annual fee.
