Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On Monday April 1, 2024, Peter Daley, Outside Director on the Commonwealth Capital Corporation’s Board of Directors, resigned his position as Outside Director with Commonwealth Capital Corporation as he moves into partial retirement. He thanked Kim and the Commonwealth team and will remain available to Commonwealth as an Accredited Senior Appraiser through 2027. He plans to start enjoying a partial retirement.
