Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of December 31, 2019, Barbara D’Amato and Luisa Ingargiola resigned as members of the Board of Directors (the “Board”) of Globe Photos, Inc., a Delaware corporation (the “Company”). Ms. D’Amato’s and Ms. Ingargiola’s resignations are not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
