Item 5.01 Changes in Control of Registrant

On April 18, 2022 control of the Company has transferred from Jim DePrima to Brian Kistler by an Assignment and Assumption Agreement which transfers the ownership of the Series A Preferred Stock to Brian Kistler.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Our Company’s current sole Director and officer Jim DePrima has resigned, and Brian Kistler has been appointed as interim sole director and officer.
