Item 2.02. Results of Operations and Financial Condition.

On August 12, 2025, Lifeway Foods, Inc. (the “Company”) issued a press release announcing its financial results for the three and six months ended June 30, 2025 (the “Press Release”).

A copy of the Press Release is attached as Exhibit 99.1 hereto and incorporated herein by reference.

On August 12, 2025, the Company announced in its Press Release estimated net sales of $26.4 million during the third quarter through August 11, 2025, representing a 20% increase from approximately $22 million during the same period in the prior year.
