Item 8.01. Other Events

On May 4, 2021, AEP Texas Inc. (the “Company”) entered into an Underwriting Agreement with CIBC World Markets Corp., MUFG Securities Americas Inc., Scotia Capital (USA) Inc. and TD Securities (USA) LLC (collectively, the “Underwriters”), relating to the offering and sale by the Company of $450,000,000 of its 3.45% Senior Notes, Series J, due 2051 (the “Notes”).

1(a)			Underwriting Agreement, dated May 4, 2021 between the Company and the Underwriters named in Exhibit 1 thereto, in connection with the sale of the Notes.
