SECTION 5 – CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On January 18, 2022, the Company appointed Mr. Frank I Igwealor as its President and CEO, effectively immediately. The Company believes that Mr. Igwealor’s vast experience would help the Company to capitalize on emerging opportunities in the Web3, Gaming, Crypto and Metaverse industries. The Company also believes that bringing Mr. Igwealor back to actively manage the Company will provide it with the vision and grit to achieve its objectives.
