Item 1.02

Termination of a Material Definitive Agreement.

On February 8, 2022, Diego Pellicer Worldwide, Inc. (the “Company”) entered into an Equity Purchase Agreement (the “Purchase Agreement”), with Hemp Choice Distribution, LLC, a Colorado limited liability company (“HCD”), its owners (the “Sellers”), and Gabriela Vergara (the “Sellers’ Representative”), pursuant to which the Company had agreed to acquire all of the issued and outstanding equity interests of HCD.

On April 22, 2022, the Company sent a termination notice of the Purchase Agreement to HCD, the Seller’s and the Sellers’ Representative pursuant to the terms of the Purchase Agreement. The foregoing description of the Purchase Agreement is qualified in its entirety by reference to the full text of the Purchase Agreement, a copy of which was filed as Exhibit 2.1 to the Current Report on Form 8-K filed by the Company on February 14, 2022, which is incorporated herein by reference.
