Item 5.02 Departure of Directors or Certain Officers; Election of Directors: Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective August 1, 2022, the Company accepted the resignation of Nalin Jay from the Board of Directors of the Company. There were no disagreements between the Company and Mr. Jay which led to his resignation.
