7,500,000 Shares of Common Stock

This prospectus relates to the offer and sale of a maximum of 7,500,000 shares of common stock, $0.00000001 par value by V Blockchain Group Inc., a Texas corporation. The offering will commence promptly on the date upon which this prospectus is declared effective by the SEC and will continue for 365 days. The offering shall terminate on the earlier of (I) when the offering period ends (365 days from the effective date of this prospectus), (ii) the date when the sale of all 7,500,000 shares is completed, (iii) when the Board of Directors decide that it is in the best interest of the company to terminate the offering prior the completion of the sale of all 7,500,000 shares registered under the Registration Statement of which this prospectus is part.

The offering of 7,500,000 shares is a “best effort” offering, which means that our sole officer and director, Tian Jia, will use her best efforts to sell the common stock and there is no commitment of any person to purchase any shares. The shares will be offered at a fixed price of $0.02 per share for the duration of the offering. The aggregate net proceeds that we will receive in this offering assuming all the shares are sold at the offering price will be $150,000. There is no minimum number of shares required to be sold to close the offering. Proceeds from the sale of the shares will be used to fund our business operations. We have not made any arrangements to place funds received from share subscriptions in an escrow, trust, or similar account. Any funds raised from the offering will be available to us for our immediate use.

This is a direct participation offering since we are offering the stock directly to the public without the participation of an underwriter. Our sole officer and director, Tian Jia, will be responsible for selling shares under this offering and no commission will be paid on any sales.

We are not a blank check corporation, Section 7(b)(3) of the Securities Act of 1933 as amended defines the term “blank check company” to mean, any development stage company that is issuing a penny stock that, “(I) has no specific plan or purpose, or (ii) has indicated that its business plan is to merge with an unidentified company or companies.” We have a specific plan and purpose. Our business purpose is to build a digital currency trading platform in jurisdiction favorable to digital currency trading. We have no intention to merge with an unidentified company or companies.

Our company

V Blockchain Group Inc., was incorporated on September 14, 2018 under the laws of the State of Texas. We are in the business of trading collectible US gold coins and precious metals and developing virtual currency trading platforms. Before we could successfully create our first virtual currency platform, we rely on other sources of revenue to support our on-going business operations. We have discontinued our study abroad consulting services. We believe buying and selling gold and precious metals fit our business models.

Our principal products and Services

A. Our first objective is to start trading with precious metals such as US collectible gold coins, gold, silver, platinum, and rhodium. We recently began to acquire an inventory of US collectible gold coins. We have discontinued our study abroad consulting services because it does not fit very well into our current business models.

We do not anticipate a shortage of raw materials because of US collectible gold coins, gold and silver are common commodities among coin dealers in the United States. We principally used these suppliers:

(1) https://www.greatcollections.com (2) https://www.ha.com (3) https://auctions.stacksbowers.com. These suppliers can sell or liquidate our inventory of gold and silver coins up to $1 million. Gold and silver coins are very liquid commodities and easily turned into cash. We purchased these US collectible gold coins at wholesale prices and sell them to the consumer at retail prices. If our gold and silver bullion coins are priced competitively, there are additional dealer-to-dealer channels of distribution, we could sell them quickly which include but not limited to: (a) Certified Coin Exchanges; (b) Dealer Coin Network. E-bay is our core retail sales channel in which we could utilize selling to our retail customers. We believe buying or selling gold and precious metal or bullion coins fits our business models.

Our virtual currency trading platform

B. Our second objective is to start a virtual asset platform in the United States. We have initiated the application for a New York Bit License (dfs.ny.gov). Our estimated expenses for the New York Bit License are $10,000. We believe our sources of funds are adequate for a virtual digital platform and we expected timing of its business development is 360 days. The New York Bit License supported an approved list of digital assets included but not limited to: Bitcoin (BTC); Bitcoin Cash (BCH); Ethereum Classic ( ETC), Ethereum ( ETH); Gemini Dollar ( GUSD), GMO JPY (GYEN); Litecoin( LTC); Lumens ( XLM); Pax Gold ( PAXG), Pax Standard ( Pax), Ripple ( XRP), Z.ComUSA (ZUSD) ; Binance USD(BUSD); Basic Attention Token ( BAT).

We will develop a virtual currency platform that will meet the distinct needs of our customers. Our digital currency platform will be powered by technology system that enables us to implement our virtual currency platform.

Our customers – retail users and institutions – come together on our virtual currency platform to create a satisfied experience. Retail users and institutions come to us to discover and access the crypto-economy because our platform is easy to use. Expanding the depth and breadth of virtual currency platform that we support drives growth in transactions and assets on our platform, and enhances liquidity, in turn attracting more retail users and institutions. As customers and activity increase, we develop a better understanding of each customer’s needs, allowing us to design, develop, and launch new and better virtual currency platforms. These new innovations enhance the value of our platform, in turn attracting more customers and driving transactions, assets, and liquidity.

Crypto asset markets are digital and real-time. Our platform is to support the unique demands of the crypto-economy, and is built on top of modern technology designed specifically to address the unique challenges of emerging blockchain technology. We will develop custom technology and processes to directly integrate with blockchain protocols. Each protocol has a unique design, with differences in characteristics such as its consensus mechanism and security model, and ongoing monitoring as transactions are recorded on the public blockchain.

Federal and state regulations will affect our business and we intend to comply with these federal and state regulations. We intend to register our virtual currency platform. We will be required to register as a money transmitter or a money services business and require to secure a New York Bit License (http:www.dfs.ny.gov). The digital currency trading industry is highly competitive. There are different digital currency trading platforms offered from our competitors, those of which have significantly longer operational history and greater financial, technical, and marketing resources.

Our Offering

The company is going forward with its offering of 7,500,000 shares of common stock on a best-efforts basis and there is no minimum amount of proceeds the company may receive. Funds raised under this offering will not be held in trust or in an escrow account and all funds raised, regardless of the amount, will be available to the company. In the event the company does not raise $30,000 to implement its planned operations, your entire investment could be lost. The amount of funds necessary to implement our plan of operation may not be fully obtained from the offering, cannot be predicted with any certainty and may exceed any estimates we set forth. Our officer and director agreed to loan the company funds in the form of $200,000 line of credit; she has advanced $143,102 for inventory purchases, such that there is $56,898 remaining to fund ongoing operations.

In addition, we received $112,500 through the sale of common stock through our sole officer and director, Tian Jia, who purchased 22,500,000 shares of common stock at $0.005 per share.

As of the date of this prospectus, there is no public trading market for our common stock and no assurance that a trading market for our securities will ever develop or, if any market does develop, it may not be sustained. Our common stock is not traded on any exchange or the over-the-counter market. After the effective date of the registration statement relating to this prospectus, we hope to have a market maker file an application with the Financial Industry Regulatory Authority (“FINRA”) for our common stock to be eligible for trading on the OTCQB. Because our shares of common stock are owned by our sole officer and director, our other stockholders may not be able to influence control of the company or decision making by management of the company, and as such, our officer and director’s vision may have a conflict of interest with the minority shareholders in the future.

Our sole officer and director own 100% of our issued and outstanding common stock as of the date of this prospectus. The interests of our sole officer and director may not be always the same as that of our other shareholders. Our sole officer and director are not only a passive investor but also an executive officer of the company, and as such his interests may at times be averse to those of passive investors. Where those conflicts exist, our shareholders will be dependent upon our director exercising, in a manner fair to all our shareholders, their fiduciary duties as officer or as member of the company’s board of directors. Also, our sole officer and director will have the ability to control the outcome of most corporate actions requiring shareholder approval, including the sale of all or substantially all our assets and amendments to our Articles of Incorporation. The digital currency trading industry is highly competitive with relaxing entry barriers. There are many different digital currency trading platforms offered from many of our current and potential competitors, those of which have significantly longer operational history along with greater financial, technical, and marketing resources. These competitors retain the ability to adapt and quickly pick up new or emerging technologies and various other business changes. If we fail to secure a competitive edge against our competitors, our revenue could decline and business operations could be harmed.

Because we are small and do not have much capital, our marketing campaign may not be enough to attract enough customers to operate profitably. If we do not make a profit, we will suspend or cease operations.

We intend to become subject to the periodic reporting requirements of the securities exchange act of 1934, as amended, which will require us to incur audit fee and legal fees in connection with the preparation of such reports.

These additional costs will negatively affect our ability to earn a profit.

Following the effective date of the registration statement of which this prospectus is included, we will be required to file periodic reports with the Securities and Exchange Commission pursuant to the Securities Exchange Act of 1934 and the rules and regulations thereunder. In order to comply with such requirements, our independent registered auditors will have to review our financial statements on a quarterly basis and audit our financial statements on an annual basis. Moreover, our legal counsel will have to review and assist in the preparation of such reports. Although we believe that the approximately $3,500, we have estimated for these costs should be sufficient for the 12-month period following the completion of our offering, the costs charged by these professionals for such services may vary significantly. Risk factors related to digital currency industry

Limited Use of digital currency

Digital currency has not been widely adopted as a means of payment for goods and services in many major retail and commercial outlets. Conversely, a significant portion of digital currency demand is generated by speculators and investors seeking to profit from the holding of digital currency. The relative lack of acceptance of digital currency in the retail and commercial marketplace limits the ability of end-users to pay for goods and services with digital currency. Lack of expansion by digital currency into retail and commercial markets may result in increased volatility which could adversely affect our business.

REGULATORY UNCERTAINTY

We are subject to governmental laws and requirements regarding economic and trade sanctions, anti-money laundering and counter-terrorist’s measures.

We are currently required to comply with U.S. economic and trade sanctions administered by OFAC and we have processes in place to comply with the OFAC regulations. While we currently only offer services to U.S. citizens and permanent residents with a legal address within the United States or Puerto Rico, and while our application includes features designed to block access to our services from sanctioned countries. If our services are accessed from a sanctioned country in violation of the trade and economic sanctions, we could be subject to enforcement actions.

In the United States, most of our services are subject to anti-money laundering laws and regulations, including the Bank Secrecy Act, as amended (“BSA”), and similar laws and regulations. The need to comply with multiple sets of laws, rules, and other requirements could substantially increase our compliance costs, impair, and subject us to risk of criminal or civil liability for violations.

Our business is subject to extensive laws, rules, regulations, including those governing financial services and banking, broker-dealers, commodities, crypto asset custody, exchange, cross-border and domestic money and crypto asset transmission. Many of these legal and regulatory regimes were adopted prior to the advent of the internet, mobile technologies, crypto assets, and related technologies. To the extent we have not complied with such laws, rules, and regulations, we could be subject to significant fines, limitations on our products and services, and other regulatory consequences.

Our business involves the collection, storage, processing, and transmission of confidential information, customer, employee, service provider, and other personal data, as well as information required to access customer assets. We have built our reputation on the premise that our platform offers customers a secure way to purchase, store, and transact in crypto assets. As a result, any actual or perceived security breach of us or our third-party partners may:

•result in our systems or services being unavailable and interrupt our operations;

•result in improper disclosure of data and violations of applicable privacy and other laws;

•result in significant regulatory scrutiny, investigations, fines, penalties, and other legal, regulatory, and financial exposure;

Although we have developed systems and processes designed to protect the data we manage, prevent data loss and other security breaches, effectively respond to known and potential risks, and expect to continue to expend significant resources to bolster these protections, there can be no assurance that these security measures will provide absolute security or prevent breaches or attacks., there has been an increase in such activities as a result of the novel coronavirus, or COVID-19, pandemic. As a result, our costs and the resources we devote to protecting against threats and their consequences may continue to increase over time.

We will use Paxons Trust Company (https://Paxons.com) to store our customer’s digital currencies. Paxons hold and safeguard physical and digital assets as a regulated Trust Company and industry leader. Paxos is a qualified custodian and certified Trust Company regulated by the New York State Department of Financial Services. Our trust certification covers both our digital asset custody and our exchange – making it the safest, lowest-risk option available.

In our first stage, we have decided to launch our virtual currency platforms through a franchise agreement with third-party service providers. This type of strategic alliances could benefit from a shorter duration for our own software developments. Management could devote more time for marketing and business developments. In our second stage, we would hire experienced software developers to design and develop our own virtual currency platforms; This will be more costly than simply obtained the third-party service providers but it is a permanent solution for running virtual currency platform within our own long-term business objectives. Management is currently assessing the various franchise opportunities in the cryptocurrency trading platform industry. One of the unique franchise opportunities offered is the Coinfield franchise opportunity ( www.coinfield.com). Owing to the COVID 19 epidemics, we were restricted to our travel plans within the United States and abroad, consequently, we can only limit our selections to fewer franchisors within the US and abroad. We already established a few other sources through our prior engagements with several reliable software developers in India and we are confident that our established working relationships with software developers and franchisors should be enough for our initial developmental stages.

A particular crypto asset’s status as a “securities” in any relevant jurisdiction is subject to a high degree of uncertainty and if we are unable to properly characterize a crypto asset, we may be subject to regulatory scrutiny, investigations, fines, and other penalties, which may adversely affect our business, operating results, and financial condition.

The SEC and its staff have taken the position that certain crypto assets fall within the definition of a “securities” under the U.S. federal securities laws. The legal test for determining whether any given crypto asset is a security is a highly complex, fact-driven analysis that evolves over time, and the outcome is difficult to predict. The SEC generally does not provide advance guidance or confirmation on the status of any crypto asset as a security. Furthermore, the SEC’s views in this area have evolved over time and it is difficult to predict the direction or timing of any continuing evolution. It is also possible that a change in the governing administration or the appointment of new SEC commissioners could substantially impact the views of the SEC and its staff. We could be subject to legal or regulatory action in the event the SEC, or a court was to determine that a supported crypto asset offer, sell, or trade on our platform is a “securities” under applicable laws. Because our platform is not registered or licensed with the SEC as a broker-dealer, national securities exchange, or ATS and that our listing determination does not guarantee any conclusive determination that a particular crypto asset is exempt from registration under the U.S. Federal Securities Laws. We may be subject to regulatory scrutiny, investigations which may adversely affect our business, operating results, and financial condition. However, our application for a New York Bit License (dfs.ny.gov) may have a determinative effect to classify certain crypto assets as “securities” because New York Bit License may already have an pre-existing lists of crypto assets that is not classified as “securities” by SEC and allowable to be trade by its licensees.

The loss or destruction of private keys required to access any crypto assets held in custody for our own account or for our customers may be irreversible. If we are unable to access our private keys or if we experience a hack or other data loss relating to our ability to access any crypto assets, it could cause regulatory scrutiny, reputational harm, and other losses.

Our business currently entails no private keys entrusted to us by our customers but they will be once our digital currency platform is fully operational. Crypto assets are generally controllable only by the possessor of the unique private key relating to the digital wallet in which the crypto assets are held. Private keys must be safeguarded and kept private in order to prevent a third party from accessing the crypto assets held in such a wallet. To the extent that any of the private keys relating to our hot or cold wallets containing crypto assets held for our own account or for our customers is lost, destroyed, or otherwise compromised or unavailable, and no backup of the private key is accessible, we will be unable to access the crypto assets held in the related wallet. Any loss of private keys relating to, or hack or other compromise of, digital wallets used to store our customers’ crypto assets could adversely affect our customers’ ability to access or sell their crypto assets, require us to reimburse our customers for their losses, and subject us to significant financial losses in addition to losing customer trust in us and our products.

Our failure to safeguard and manage our customers’ fiat currencies and crypto assets could adversely impact our business, operating results, and financial condition.

We are required to safeguard customers’ assets using bank-level security standards applicable to our hot and cold wallet and storage systems, as well as our financial management systems related to such custodial functions. Our security technology is designed to prevent, detect, and mitigate inappropriate access to our systems, by internal or external threats. We believe we have developed and maintained administrative, technical, and physical safeguards designed to comply with applicable legal requirements and industry standards. However, it is nevertheless possible that hackers, service providers acting contrary to our policies. Any security incident resulting in a compromise of customer assets could result in substantial costs to us and require us to notify impacted individuals, and in some cases regulators, of a possible or actual incident, expose us to regulatory enforcement actions, including substantial fines, limit our ability to provide services, subject us to litigation, significant financial losses, damage our reputation, and adversely affect our business, operating results, financial condition, and cash flows.

A temporary or permanent blockchain “fork” could adversely affect our business.

Most blockchain protocols, including Bitcoin and Ethereum, are open source. Any user can download the software, modify it and then propose that users and miner of Bitcoin, Ethereum or other blockchain protocols adopt the modification. When a modification is introduced and a substantial majority of miners consent to the modification, the change is implemented and the Bitcoin, Ethereum or other blockchain protocol networks, as applicable, remain uninterrupted. However, if less than a substantial majority of users and miners consent to the proposed modification, and the modification is not compatible with the software prior to its modification, the consequence would be what is known as a “fork” (i.e., “split”) of impacted blockchain protocol network and respective blockchain with one prong running the pre-modified software and the other running the modified software which results in further confusion to customers as to the nature of cryptocurrencies they hold on platforms. As a result, a temporary or permanent blockchain “fork” could adversely affect our business.

Our ability to develop a digital asset platform, including the operational, technological and regulatory challenges.

A digital asset platform is a digital market where users are able to buy and sell virtual currency at market-established exchange rates. We may begin with our simple digital asset platform with less capital investments. This type of exchange platforms does not involve a market-established price on the market; instead, traders set their own exchange rate. In contract, brokerage platforms are sites that any person can use to buy virtual currency at a rate that was set by a platform operator. The type of digital currency exchanges in which we will be operated depend on our operational budgets, technological and regulatory challenges. Due to our limited operational budgets, we may have to support by third- party service providers as a franchisee or a licensee. Many of the operational and technological functions will be assigned to our third-party service providers. In regard of regulatory challenges, we rely on trade shows, consultants and attorneys who will advise us the latest regulatory issues affecting our business operations. There are certainly operational risks we may not be successful in developing the platform and a strong impact that would have on investors. We have determined to minimize these operational risks by aligning ourselves with existing franchisors with third-party vendors, thus, the operational and technological challenges have been minimized. Since the crypto-asset trading platforms is relatively new industry with evolving rules and regulations, the management simply have to adopt to the regulatory challenges we may face to this new industry by constantly monitor to all the new regulatory rules and in compliance with all the relevant regulations.

Our services must integrate with a variety of operating systems, and the hardware that enables customers to place their orders through these operating systems. If we are unable to ensure that our services or hardware interoperate with such operating systems and devices, our business may be materially and adversely affected.

We are dependent on the ability of our products and services to integrate with a variety of operating systems, as well as web browsers. In addition, we rely on app marketplaces, such as the Apple App Store and Google Play, to drive downloads of our mobile app. Apple, Google, or other operators of app marketplaces regularly make changes to their marketplaces, and those changes may make access to our products and services more difficult. It is difficult for our customers to access and use our products and services, our business may be materially and adversely affected. Furthermore, Apple, Google, or other operators of app marketplaces regularly provide software updates, and such software updates may not operate effectively with our products and services, which may reduce the demand for our products and services, result in dissatisfaction by our customers, and may materially and adversely affect our business.

The possibility that we may not receive regulatory approval for our virtual currency platform.

We may not timely receive regulatory approval for a New York Bit License ( dfs.ny.gov). If our digital currency platform fails to develop, develop more slowly than expected or failure to receive regulatory approval, its business may suffer. As a result, (i) we may be unable to successfully market our digital currency platform. If our digital currency platform does not receive regulatory approval, our operating results, and financial condition will be materially affected. The possibility that we may not receive regulatory approval for our virtual currency platform is one of the risk factors that may adversely impact our business. We may just have to change our business models, or alternatively, we may seek regulatory approval from other States that issue money remitting licenses.

Substantial and increasingly intense competition in our industry may harm our business.

The management’s lack of experience in creating, maintaining and operating a virtual currency platform, establishing security and custody arrangements for digital wallets, and complying with required federal and state regulations.

Our management had more than five years of experiences in running different disciplines in management and finance operations. We already have a set of strategic business objectives to compete with our more sophisticated competitors. One of our major strategic plans is to align with a franchisor or third-party providers. In addition, we will need to strengthen our human resource and recruitment efforts for new employees and consultants. We will need to identify, hire, develop, motivate, and retain highly skilled employees. If our management team, including any new hires that we make, fails to work together effectively and to execute our plans and strategies on a timely basis, our business could be harmed. If we are not able to add and retain employees effectively, our ability to achieve our strategic objectives will be adversely affected, and our business and growth prospects will be harmed. Our future success is significantly dependent upon the continued service of our executive and other key employees. Our management’s anticipated reliance on outside consultants and independent contractors is beneficial to our operations because we relied on global freelancers who based their fees on project cost. Most of the Freelancers or consultants were situated in Russia, China or India and they were highly skilled programmers and software developers. However, our initial stage of operations, we would most likely enter into Franchise arrangements with third-party vendors.

Systems failures, interruptions, delays in service, catastrophic events, and resulting interruptions in the availability of our cryptocurrency trading platform, could harm our business and our brand, and subject us to substantial liability.

Our systems may experience service interruptions, human error, earthquakes, hurricanes, floods, fires, natural disasters, power losses and other geopolitical unrest, or other events. Our systems are also subject to break-ins, sabotage, and acts of vandalism. Some of our systems are not fully redundant, and our disaster-recovery planning is not sufficient for all eventualities. In addition, as a provider of cryptocurrency platform, we are subject to increased scrutiny by regulators that may require specific business continuity and disaster recovery plans and more rigorous testing of such plans. This increased scrutiny may be costly and time-consuming and may divert our resources from other business priorities.

A prolonged interruption or other functionality of our cryptocurrency trading platform could materially harm our business. Frequent or persistent interruptions in our products and services could cause customers to believe that our virtual asset platform are unreliable, leading them to switch to our competitors or to avoid our virtual asset platforms, and could permanently harm our business. We have implemented a disaster recovery program, which enables us to move production to a back-up data center in the event of a catastrophe. Although this program is functional, it may prove to be inadequate, increasing the risk of interruptions in our services, which could have a material and adverse impact on our business. Significant natural or other disasters could also have a material and adverse impact on our customers, which, in the aggregate, could in turn adversely affect our results of operations.

If we do not continue to improve our operational, financial, and other internal controls and systems to manage growth effectively, our business could be harmed.

Our current business and anticipated growth will continue to place significant demands on our management and other resources. In order to manage our growth effectively, we must continue to strengthen our existing infrastructure and operational procedures, enhance our internal controls and reporting systems, and ensure we timely and accurately address issues as they arise. We rely on third parties in connection with many aspects of our business, including banks, to process transactions; website functionality and access; as well as third parties that provide outsourced customer service, compliance support, which are critical to our operations. Because we rely on third parties to provide these services and to facilitate certain of our business activities, we face increased operational risks. We do not control the operation of any of these third parties. These third parties may be subject to financial, legal, regulatory, service terminations, disruptions, interruptions, and other misconduct. They are also vulnerable to damage, fires, floods, earthquakes, hurricanes, tornadoes, pandemics (including the COVID-19 pandemic) and similar events. We rely on bank accounts to provide our platform and custodial services. Customer cash holdings on our platform are held with one or more of our banking partners. As a registered money services business with FinCEN under the Bank Secrecy Act, as amended by the USA PATRIOT Act of 2001, and its implementing regulations enforced by FinCEN, or collectively, the BSA, a potential money transmitter in a number of U.S. states and territories, a potential licensee under NYDFS’s Virtual Currency Business Activity regime, commonly referred to as a New York Bit License, our banking partners view us as a higher risk customer for purposes of their anti-money laundering programs. We may face difficulty establishing or maintaining banking relationships due to our banking partners’ policies. The loss of these banking partners or the imposition of operational restrictions by these banking partners and the inability for us to utilize other redundant financial institutions may result in a disruption of business activity as well as regulatory risks.

We may suffer losses due to abrupt and erratic market movements.

The crypto asset market has been characterized by significant volatility and unexpected price movements. Certain crypto assets may become more volatile and less liquid in a very short time, resulting in market prices being subject to erratic and abrupt market movement, which could harm our business. For instance, abrupt changes in volatility or market movement can lead to extreme pressures on our platform and infrastructure that can lead to inadvertent suspension of services across parts of the platform or the entire platform. These outages lead to increased customer service expense, can cause customer loss and reputational damage, and can lead to other damages for which we may be responsible.

A deterioration of general macroeconomic conditions could materially and adversely affect our business and financial results.

The COVID-19 pandemic and the various measures instituted by governments and businesses to mitigate its spread, including travel restrictions, stay-at-home orders and quarantine restrictions, could adversely impact our customers, employees and business partners, and continue to disrupt our operations, including as the pandemic contributes to a general slowdown in the global economy. We are selling our offering of 7,500,000 shares of common stock without an underwriter and may be unable to sell any shares.

Our offering of 7,500,000 shares is self-underwritten; we have no plans to engage the services of an underwriter to sell the shares. We intend to sell our shares through our sole officer and director, Tian Jia, who will receive no commission for his services. Shares will be offered to friends, family members, and business associates; however, there is no guarantee that she will be able to sell all, if any of the shares. Unless she is successful in selling all the shares, she may have to seek alternative financing in order to implement our business plan.

We may, in the future, issue additional common shares, which would reduce investors’ percent of ownership and may dilute our share value.

Our Articles of Incorporation authorize the issuance of 9,900,000,000 share of common stock. As of March 31,2021, the company had 22,500,000 shares of common stock issued and outstanding. As such, we may issue up to an additional 9,877,500,000 shares of common stock. DETERMINATION OF OFFERING PRICE

In a distributed ledger, those with access to the shared database are all able to see a real-time copy of the ledger from their respective computer screens. Therefore, when one party suggests a change to the records, this is shown to all parties within seconds or minutes.

Miners are computers dedicated to the network to validate all transactions. Users create cryptographically secure transactions and broadcast them to the network of miners. The miners gather up as many transactions as can fit into a block, and go through a mathematical process to verify the block and add it to the chain of past blocks. Miners are rewarded in freshly minted bitcoin for contributing their computing resources to the network.

What is the blockchain on which your platform will run?

We used Ethereum on which our platform will run. Ethereum is a platform that makes it possible for any developer to write and distribute next-generation decentralized applications.

How does your network interact with the underlying blockchain?

We used a Peer-to-Peer ( P2P) network system. Every blockchain consists of a cluster of nodes functioning on a peer-to-peer (P2P) network system.

What happens if there are issues with the underlying blockchain (e.g. decreased processing speeds or increased transaction fees) ? What are your contingency plans in the event the underlying blockchain is no longer supported ?

If there are issues with the underlying blockchains, our customers will get a refund and reverse the transactions. Hashgraph will be supported or replaced blockchain. A Hashgraph is one such distributed ledger technology gaining momentum as it claims to be more secure, efficient, and faster than blockchain.

Blockchain is a system of recording information in a way that makes it difficult or impossible to change, hack, or cheat the system. A blockchain is essentially a digital ledger of transactions that is duplicated and distributed across the entire network of computer systems on the blockchain. Blockchain technology is a structure that stores transactional records, also known as the block, of the public in several databases, known as the “chain,” in a network connected through peer-to-peer nodes. Typically, this storage is referred to as a digital ledger. IBM is the largest company in the world embracing blockchain. One of the more notorious examples of Blockchain in action is Bitcoin. Bitcoin is not the only currency based on Blockchain technology. Blockchain is the technology that enables the existence of digital currency. A cryptocurrency is a medium of exchange, such as the US dollar, but is digital and uses encryption techniques to control the creation of monetary units and to verify the transfer of funds. Most blockchain protocols, including Bitcoin and Ethereum, are opened source. Any user can download the software, modify it and then propose that users and miner of Bitcoin, Ethereum or other blockchain protocols adopt the modification.

Our digital asset platform

Franchise arrangement & Software development

Our management is delighted to be involved in the forefront of the blockchain technology. In our first stage, we have decided to launch our virtual currency platforms through a franchise agreement with third-party service providers. This type of strategic alliances could benefit from a shorter duration for software developments. Management could devote more time for marketing and business developments. In our second stage, we would hire experienced software developers to design and develop our own virtual currency platforms; This will be more costly than simply obtained the third-party service providers but it is a permanent solution for running virtual currency platform within our own long-term business objectives. Management is currently assessing the various franchise opportunities in the cryptocurrency trading platform industry. Owing to the COVID 19 epidemics, we were restricted to our travel plans within the United States and abroad, consequently, we can only limit our selections to fewer franchisors within the US and abroad.

Hot and Cold wallets

Our business currently entails no private keys entrusted to us by our customers but they will be once our digital currency platform is fully operational. Crypto assets are generally controllable only by the possessor of the unique private key relating to the digital wallet in which the crypto assets are held. Private keys must be safeguarded and kept confidential in order to prevent a third party from accessing the crypto assets held in such a wallet. To the extent that any of the private keys relating to our hot or cold wallets containing crypto assets held for our own account or for our customers is lost, destroyed, or otherwise compromised or unavailable, and no backup of the private key is accessible, we will be unable to access the crypto assets held in the related wallet. Any loss of private keys relating to, or hack or other compromise of, digital wallets used to store our customers’ crypto assets could adversely affect our customers’ ability to access or sell their crypto assets, require us to reimburse our customers for their losses, and subject us to significant financial losses in addition to losing customer trust in us and our products. Employees and Employment Agreements

We have three part-time employees as of the date of this prospectus. Our officer and director, Tian Jia, devotes approximately 40 hours per week to company matters. After receiving funding, our officer, Tian Jia, plans to devote as much time to the operation of the Company as she determines is necessary to manage the affairs of the Company. U.S. government regulation of blockchain and cryptocurrency is being actively considered by the United States federal government via its agencies and regulatory bodies. State and local regulations also may apply to our activities and other activities in which we may participate in the future. For instance, the SEC has taken an active role in regulating the use of public offerings of proprietary coins (so-called “Initial Coin Offerings”) and has made statements and official promulgations as to the status of certain cryptocurrencies as “securities” subject to regulation by the SEC. Federal and state regulations will affect our business and we intend to comply with these federal and state regulations.

DESCRIPTION OF PROPERTY

We are renting property in Houston, Texas. Our office space is approx. 500 square ft. This location serves as our primary office for planning and implementing our business operations. Management believes the current premises arrangements are sufficient for its needs for at least the next 12 months.

Liquidity and Capital Resources

At December 31, 2021 we had a cash balance of $182,745. Our expenditures over the next 12 months are expected to be approximately $25,500, assuming we sell 20% shares in this offering.

Based on our current cash position, we will be able to continue our operations for 12 months, assuming we do not raise additional funding. We believe our current cash and net working capital balance are sufficient to cover our expenses for filing required quarterly and annual reports with the Securities and Exchange Commission and our status as a corporation in 12 months. Additional funding will likely come from equity financing from the sale of our common stock, if we are able to sell such stock. If we are successful in completing an equity financing, existing shareholders will experience dilution of their interest in V Blockchain Group Inc., There are no assurances that we will be able to raise sufficient funding from the sale of our common stock to fund our business operations. Our officer and director agreed to loan the company funds in the form of $200,000 line of credit and. She has advanced $143,102 for inventory purchases, such that there is $56,898 remaining to fund ongoing operations. In the event the existing Line of Credit is used up for inventory purchases, she agreed to advance additional funds to the Company for working capitals.

SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

Basis of presentation

The financial statements of the company have been prepared in accordance with generally accepted accounting principles in the United States of America and are presented in US dollars. The company's fiscal year end is March 31.

Use of estimates

Management uses estimates and assumption in preparing these financial statements in accordance with generally accepted accounting principles. Those estimates and assumptions affect the reported amounts of assets and liabilities, the disclosure of contingent assets and liabilities, and the reported revenues and expenses.

Cash and cash equivalents

The company considers all highly liquid instruments with original maturities of three months or less when acquired, to be cash equivalents. We had $191,081 cash equivalents on September 30, 2021.

Income taxes

The company accounts for income taxes under ASC 740 “Income Taxes” which codified SFAS 109, “Accounting for Income Taxes” and FIN 48 “Accounting for Uncertainty in Income Taxes – an Interpretation of FASB Statement No. 109.” Under the asset and liability method of ASC 740, deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the financial statements carrying amounts of existing assets and liabilities and their respective tax bases. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income in the years in which those temporary differences are expected to be recovered or settled. Under ASC 740, the effect on deferred tax assets and liabilities of a change in tax rates are recognized in income in the period of the enactment occurs. A valuation allowance is provided for certain deferred tax assets if it is more likely than not that the company will not realize taxable assets through future operations.

Stock- based compensation

Stock-based compensation is accounted for at fair value in accordance with ASC Topic 718. To date, the company has not adopted a stock option plan and has not granted any stock options.

Fair value of financial instruments

Accounting Standards Codification Topic 820, “Disclosures About Fair Value of Financial Instruments”, requires the company to disclose, when reasonably attainable, the fair market values of its assets and liabilities which are deemed to be financial instruments. The company’s financial instruments consist primarily of cash.

Per share information

The company computes net loss per share accordance with FASB ASC 205 “Earnings per Share”. FASB ASC 205 requires presentation of both basic and diluted earnings per share (EPS) on the face of the income statement. Basic EPS is computed by dividing net loss available to common shareholders (numerator) by the weighted average number of shares outstanding (denominator) during the period. Diluted EPS gives effect to all potentially dilutive common shares outstanding during the period. Diluted EPS excludes all potentially dilutive shares if their effect is anti-dilutive.

Fair Value of Financial Instruments

Pursuant to ASC No. 820, "Fair Value Measurements and Disclosures", the Company is required to estimate the fair value of all financial instruments included on its balance sheet as of January 31. The Company's financial instruments consist of cash. The Company considers the carrying value of such amounts in the financial statements to approximate their fair value due to the short-term nature of these financial instruments.

Impact of New Accounting Standards

The Financial Accounting Standards Board ("FASB") periodically issues new accounting standards in a continuing effort to improve standards of financial accounting and reporting. The Company has reviewed the recently issued pronouncements. During this review the Company decided to early adopt ASU 2014-10 which eliminates the definition of a development stage entity, eliminates the development stage presentation and disclosure requirements under ASC 915, and amends provisions of existing variable interest entity guidance under ASC 810.

Tian Jia, our Chief Executive Officer and Chief Financial Officer. From 1990 to 1994, she studied fluid Mechanics and graduated with a Bachelor Degree at Harbin University. From 2007-2010, she worked at Great Wall Builders Ltd., as a Chief Executive Officer and Chief Financial Officer involved in solar systems building activities including project supervision, acquisition of building materials, and negotiation of contracts with suppliers. She was responsible for managerial, corporate finance, accounting, and business developments. Great Wall Builder Ltd was a residential builder of homes in certain redevelopment areas, including the city of Houston and surrounding counties. From 2010- 2017, she works at Yamamoto Company as a Chief Executive Officer and Chief Financial officer coordinating financial reporting and new business developments. She earned her LLM degree (Master of Law) from Florida Coastal School of Law.

Term of office

All directors hold office until the next annual meeting of the stockholders of the company and until their successors have been duly elected and qualified. The company’s Bylaws provide that the Board of Directors will consist of a minimum of one member. Officers are elected by and serve at the discretion of the Board of Directors.

Significant employees and consultants

We currently have three part-time employees. Tian Jia, our sole officer, and director, are officer and director who handle the company’s day-to-day operations.

Audit committee and conflicts of interest

Since we do not have an audit or compensation committee comprised of independent directors, the functions that would have been performed by such committees are performed by our directors. The Board of Directors has not established an audit committee and does not have an audit committee financial expert, nor has the board established a nominating committee. The board is of the opinion that such committees are not necessary since the company is a company and has only one director, and to date, such director has been performing the functions of such committees. Thus, there is a potential conflict of interest in that our director has the authority to determine issues concerning management compensation, nominations, and audit issues that may affect management decisions.

Other than as described above, we are not aware of any other conflicts of interest with our Executive Officer or Director.

Independence of Directors

We are not required to have independent members of our Board of Directors, and do not anticipate having independent Directors until such time as we are required to do so.

Code of Ethics

We have not adopted a formal Code of Ethics. The Board of Directors evaluated the business of the Company and the number of employees and determined that since the business is operated by a small number of persons, general rules of fiduciary duty and federal and state criminal, business conduct and securities laws are adequate ethical guidelines. In the event of our operations, employees and/or Directors will expand in the future, we may take actions to adopt a formal Code of Ethics.

Stockholder communications with the board of directors

We have not implemented a formal policy or procedure by which our stockholders can communicate directly with our Board of Directors. Nevertheless, every effort will be made to ensure that the Board of Directors hears the views of stockholders, and that appropriate responses are provided to stockholders in a timely manner. During the upcoming year, our Board of Directors will continue to monitor whether it would be appropriate to adopt such a process.

As a smaller reporting company, we are not listed on a national securities exchange or in an inter-dealer quotation system that has requirements that most of the board of directors be independent. Compensation Discussion and Analysis

Our Board of Directors does not currently receive any consideration for their services as members of the Board of Directors. The Board of Directors reserves the right in the future to award the members of the Board of Directors of cash or stock-based consideration for their services to the Company, which awards, if granted shall be at the sole determination of the Board of Directors.

Executive Compensation Philosophy

Our Board of Directors determines the compensation given to our Executive Officers in their sole determination. Our Board of Directors reserves the right to pay our executive or any future executives a salary, and/or issue them shares of common stock issued in consideration for services rendered and/or to award incentive bonuses which are linked to our performance, as well as to the individual executive officer’s performance. This package may also include long term stock- based compensation to certain executives, which is intended to align the performance of our executives with our long-term business strategies. Additionally, while our Board of Directors has not granted any performance base stock options to date, the Board of Directors reserves the right to grant such options in the future, if the Board in its sole determination believes such grants would be in the best interests of the Company.

Incentive Bonus

The Board of Directors may grant incentive bonuses to our executive officer and/or future Executive Officers in its sole discretion, if the Board of Directors believes such bonuses are in the Company’s best interest, after analyzing our current business objectives and growth, if any, and the amount of revenue we are able to generate each month, which revenue is a direct result of the actions and ability of such executives.

Note 1. Background information

V Blockchain Group Inc., was incorporated in the State of Texas on September 14, 2018 and is located at 4771 Sweetwater Blvd, #199, Sugar Land, TX 77479. The company intends to trade precious metals and develops an online virtual currency platform. As of December 31, 2021, the company has not generated revenue in this quarter.

Note 2. Summary of significant accounting policies

Basis of Presentation

The accounting and reporting policies of the company conform to accounting principles generally accepted in the United States of America (GAAP).

Use of estimates

The preparation of financial statements in conformity with GAAP requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amount of revenues and expenses during the reporting period. Actual results could differ from those estimates.

Revenue recognition

We recognize revenue from product sales when the following four revenue recognition criteria are met: persuasive evidence of an arrangement exists, delivery has occurred, the selling price is fixed or determinable, and collectability is reasonably assured.

Cash

Cash includes cash in banks, money market funds, and certificates of term deposits with maturities of less than three months from inception, which are readily convertible to known amounts of cash and which, in the opinion of management, are subject to an insignificant risk of loss in value.

Fair Value Measurements

The company adopted the provisions of ASC Topic 820, “Fair Value Measurements and Disclosures”, which defines fair value as used in numerous accounting pronouncements, establish a framework for measuring fair value and expand disclosure of fair value measurements.

The estimated fair value of certain financial instruments, including cash and cash equivalents is carried at historical cost basis, which approximates their fair values because of the short-term nature of these instruments.

ASC 820 defines fair value as the exchange price that would be received for an asset or paid to transfer a liability (an exit price) in the principal or most advantageous market for the asset or liability in an orderly transaction between market participants on the measurement date. ASC 820 also establishes a fair value hierarchy, which requires an entity to maximize the use of observable input and minimize the use of unobservable input when measuring fair value. ASC 820 describes three levels of input that may be used to measure fair value:

Level 1 — quoted prices in active markets for identical assets or liabilities

Level 2 — quoted prices for similar assets and liabilities in active markets or inputs that are observable

Level 3 — inputs that are unobservable (for example cash flow modeling inputs based on assumptions)

The company has no assets or liabilities valued at fair value on a recurring basis.

Loss per Share

The company has adopted ASC 260, “Earnings Per Share,” (“EPS”) which requires presentation of basic and diluted EPS on the face of the income statement for all entities with complex capital structures, and requires a reconciliation of the numerator and denominator of the basic EPS computation to the numerator and denominator of the diluted EPS computation. In the accompanying financial statements, basic loss per share is computed by dividing net loss by the weighted average number of shares of common stock outstanding during the period.

The company has no potentially diluted securities, such as options or warrants, currently issued and outstanding.

Inventory consisting of certified collectible gold coins is stated at the lower of cost or market. $71,483 inventory was funded by our existing line of credit. For the period ended December 30, 2021, there was -0- additional purchase.

Note 4: Income Taxes

The Company accounts for income taxes in accordance with ASC 740, Income Taxes, which requires that the Company recognize deferred tax liabilities and assets based on the differences between the financial statement carrying amounts and the tax basis of assets and liabilities, using enacted tax rates in effect in the years the differences are expected to reverse. Deferred income tax benefit (expense) results from the change in net deferred tax assets or deferred tax liabilities. A valuation allowance is recorded when, in the opinion of management, it is more likely than not that some or all any deferred tax assets will not be realized.
