Section 5 – Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 2, 2022, Exelon Corporation (Exelon) announced that Chief Executive Officer, Christopher Crane will retire from his position as Exelon CEO, and from his role as a director on Exelon’s Board, effective December 30, 2022, due to health reasons. Mr. Crane conveyed his intention to retire to the Exelon Board at a special meeting held on October 30, 2022.

Mr. Crane will also retire from his position as a member of the Commonwealth Edison Company Board, effective December 30, 2022.

No new compensatory arrangements have been entered into at this time with Mr. Crane in connection with his retirement. Mr. Crane will receive the retirement benefits described in Exelon’s 2022 proxy statement filed with the SEC on March 16, 2022.
