Prior to dissolution, all the shares owned by KP I LP were deemed to be indirectly held by Mr. Meyer and Mr. Koeneke through control of Knightspoint Partners LLC and, Knightspoint Capital Management I LLC, the general partner, of KP I LP. The acquisition of shares reported in Item 4, and the increase in the number of Mr. Meyer's directly owned shares reported in Item 5 resulted from the distribution of shares to Mr. Meyer that were previously held by KP I LP.
