ITEM 8.01 OTHER EVENTS

The Directors of Helmerich & Payne, Inc. (the "Company"), at a Board of Directors meeting held on September 9, 2025, declared a quarterly cash dividend of $0.25 per share on the Company's common stock, payable on December 2, 2025, to stockholders of record at the close of business November 18, 2025.
