- [F1]Reporting Person holds rights related to a security pursuant to Company's March 18, 2003 Stock Performance Plan. Pursuant to such plan, Reporting Person is entitled to receive awards of performance-based restricted shares of Company's common stock in 5 increments, each equal to 20% of the number of shares set forth in Column 4 herein, as Company's average closing stock price over a 20-day period reaches the following 5 thresholds: $26.86, $31.34, $35.81, $40.29 and $44.77. Once such shares are awarded, Reporting Person acquires voting and dividend rights, but Company holds such shares as custodian until earlier of: 5 years, Reporting Person attains age 65, death or disability of Reporting Person or change in control of Company, at which point such shares become fully vested. If Reporting Person's employment with Company terminates prior to such shares vesting, Reporting Person's shares under this plan are forfeited. 3 of above 5 thresholds were attained on May 5, 2003, May 27, 2003 and June 20, 2003, respectively, resulting in the issuance of 21,000 shares under such plan.
