The effect of Mr. Kelly's acquisition of an increased ownership in OE Holdings, Inc. was to increase his pecuniary interest ("shares") from 2,014,235 shares to 2,446,376 shares. On January 6, 2009 OE Holdings, Inc. distributed 1,247,603 shares to Mr. Kelly. This distribution merely caused a change in beneficial ownership from indirect to direct.
