Item 5.02.			Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On October 29, 2025, the registrant’s Board of Directors determined to increase the size of the Board from 11 to 12 directors and elect Dino E. Robusto as a director, in each case effective January 1, 2026.

Mr. Robusto was the Chief Executive Officer and Chairman of the Board of Directors of the registrant’s subsidiary, CNA Financial Corporation (“CNA”), from 2016 until 2024. Since January 1, 2025, Mr. Robusto has served as Executive Chairman of CNA. His term as Executive Chairman expires on December 31, 2025, at which time he will leave the CNA Board of Directors. Mr. Robusto’s compensation for his role as Executive Chairman of CNA during 2025 is an annual salary of $6 million, plus a bonus, to be determined by the Compensation Committee of the Board of Directors of CNA, of up to $2 million.
