The RSUs will vest on the third anniversary of the grant date if the volume weighted adjusted price per share of the Company's common stock exceeds certain levels for a period of 20 consecutive trading days during the performance period. A tranche of RSUs will vest at VWAP representing each of a 26%, 44%, and 73% increase over average VWAP of $11.95 over the 20 trading days preceding the grant date.
