(the record holder of the warrant and a reporting person included in this Form 4) acquired upon exercise of the warrant that number of common shares of the issuer equal to the following, rounded to the nearest whole share: the quotient of (i) the product of (x) 1,600,000 shares multiplied by $4.00, the market price of the common stock estimated for purposes of this filling on April 6, 2005 (the exercise date) minus (y) $1,600.00 (the aggregate amount that the reporting person would otherwise be required to pay Quest upon exercise), divided by (ii) the estimated market price of $4.00 per share of common stock .
