Item 8.01. Other Events

Deutsche Bank Trust Company Americas resigned as trustee under that certain an Indenture dated as of September 1, 1997 (the “Indenture”), between Ohio Power Company (the “Company”) and Deutsche Bank Trust Company Americas (as successor to Bankers Trust Company) pursuant to which certain series of the Company’s senior notes are issued. The Bank of New York Mellon Trust Company, N.A. has accepted the appointment as successor trustee under the Indenture.
