- [F1]In accordance with the Agreement and Plan of Reorganization dated January 27, 2004 ("Merger Agreement"), on April 14, 2004, the Issuer, pursuant to various mergers outlined in the Merger Agreement, became an indirect subsidiary of Fidelity National Financial (the "Merger"). As a result of the Merger and based upon a value of $38.85 per share of common stock of Fidelity National Financial ("FNF") as determined in accordance with the Merger Agreement, the reporting persons received an aggregate of $32,069,797 in cash and 226,435 shares of FNF common stock.

(RVP), and SSD holds a limited partnership interest in RVP. Reporting person disclaims beneficial ownership of these securities except to the extent of its proportionate pecuniary interest therein.
