Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 21, 2023, the Board of Directors (the “Board”) of Southern California Gas Company (“SoCalGas”), a subsidiary of Sempra, appointed Trevor I. Mihalik, the Executive Vice President and Chief Financial Officer of Sempra, as the Chairman and a director of SoCalGas effective January 1, 2024. In addition, the Board expects to appoint Mr. Mihalik as a member of the Compensation Committee of the Board.
