Item 8.01 Other Events

On July 31, 2025, VSE Corporation issued a press release announcing that the Board of Directors declared a quarterly cash dividend of $0.10 per share to be paid on October 29, 2025 to stockholders of record as of October 15, 2025. The Board of Directors approved the dividend on July 29, 2025. A copy of the press release is attached as Exhibit 99.1.
