Item 8.01 Other Events

On November 19, 2025, VSE Corporation issued a press release announcing that the Board of Directors declared a quarterly cash dividend of $0.10 per share to be paid on January 29, 2026 to stockholders of record as of January 15, 2026. The Board of Directors approved the dividend on November 18, 2025. A copy of the press release is attached as Exhibit 99.1.
