Item 2.02. Results of Operations and Financial Condition.

On January 28, 2026, V.F. Corporation (the “Company”) released its financial results for the third quarter of Fiscal 2026 within a presentation on its website and an accompanying press release. Copies of the presentation and press release are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively.

Item 7.01. Regulation FD Disclosure.

On January 28, 2026, the Company announced that its Board of Directors declared a quarterly dividend of $0.09 per share. This dividend will be payable on March 19, 2026, to shareholders of record at the close of business on March 10, 2026.
