("Villa Clare"), contributing shares of Class A Common Stock of Haverty Furniture Companies, Inc. and receiving percentage interests in Villa Clare in accordance with their relative contribution. Under the provisions of the partnership, Mrs. Smith no longer has voting or dispositive power over the contributed shares, and disclaims beneficial ownership of shares held by Villa Clare except to the extent of her pecuniary interest therein.
