Item 8.01	Other Events.

On August 3, 2017, the Kentucky Public Service Commission issued an Order in Case Number 2017-00125, PNG Companies LLC, Drake Merger Sub Inc., and Delta Natural Gas Company, Inc. for Approval of an Acquisition of Ownership and Control of Delta Natural Gas Company, Inc. The Order reopened the case to supplement the record with additional information to be filed by SteelRiver Infrastructure Fund North America LP and SteelRiver LDC Investments LP, the parent entities of PNG Companies LLC, no later than August 10, 2017. The proposed merger with Drake Merger Sub Inc. was originally announced in February, 2017 and the Kentucky Public Service Commission granted conditional approval of the acquisition in an Order dated July 13, 2017.
