Item 8.01	Other Events.

On August 3, 2017, the Kentucky Public Service Commission issued an Order in Case Number 2017-00125, PNG Companies LLC, Drake Merger Sub Inc., and Delta Natural Gas Company, Inc. for Approval of an Acquisition of Ownership and Control of Delta Natural Gas Company, Inc. The proposed merger with Drake Merger Sub Inc. was originally announced in February, 2017 and the Kentucky Public Service Commission granted conditional approval of the acquisition in an Order dated July 13, 2017. The August 15, 2017 Order granted unconditional approval of the acquisition.
